The Articles of Association of Edipresse SA, the umbrella company of the Edipresse Group, together with its Administrative Rules and Regulations, define the principles of corporate governance applied by the Edipresse Group.

• The Edipresse Group's operations are managed on a business unit basis, the main activities being newspapers, magazines and printing.
• The Board of Directors is responsible for management oversight and top-level control. It establishes directives for the policy and priorities of the company.
• The General Management team is in charge of all matters relating to the management of the company that are not the purview of the Board of Directors
  or the Executive Director.
• The Group's compensation schemes are designed to attract, retain and motivate senior executives, managers and associates who are vital to the
  long-term success of the Edipresse Group's business.
• Edipresse's policy is to promote open and timely communication, with all participants treated equally.
